AGM and EGM Statement

Freeplay, the sustainable energy company that captures, stores and delivers electric power to self-powered devices such as radios, torches and mobile phone chargers, is pleased to announce that all resolutions, including those relating to the acquisition of the entire issued share capital of Barrett Marketing Company Inc. ("BMGI") and its wholly owned subsidiary, Dixie Sales Company Inc. ("Dixie") were duly passed by shareholders at the EGM held today at 11.00 a.m.

Application has been made for the total of 29,080,626 New Ordinary Shares to be issued pursuant to the Proposals set out in the Admission Document, of which 11,397,358 New Ordinary Shares relating to the to the Placing, to be admitted to trading on AIM. It is expected that Admission will take place and dealings will commence in the New Ordinary Shares on Thursday, 20 July 2006.

The definitions used in this announcement shall have the same meaning given to them as in the Admission Document dated 23 June 2006.

Freeplay also announces that, at its Annual General Meeting held today at 10.00 am, all resolutions were duly passed.
